5. Payment Terms

For services requiring payment:

• All fees are quoted in US dollars unless otherwise specified
• Payment terms will be specified in individual service agreements
• Late payments may be subject to interest charges
• We reserve the right to suspend services for non-payment

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of any service agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, GZ MARKETPLACE, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or similar harmful code transmitted through our services

8. Indemnification

You agree to defend, indemnify, and hold harmless GZ MARKETPLACE, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms of Service or your use of our services.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will immediately cease.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Maricopa County, Arizona.

11. Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Severability

If any provision of these Terms of Service is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
